Silent Fork Terms & Conditions

By creating an account, accessing the Silent Fork platform, or using any Silent Fork services, you ("Client," "You," or "Your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the platform.

Silent Fork is operated by Sakura Labs, LLC, a Florida limited liability company ("Silent Fork," "We," "Us," or "Our").

1. Description of Services

Silent Fork provides tools and services that include:

  • Mystery dining evaluations conducted by independent evaluators ("Evaluators")
  • Reimbursement facilitation on behalf of Client (when applicable)
  • Reporting, scoring, photos, videos, and insights
  • Access to the Silent Fork platform for scheduling evaluations, viewing results, and managing locations

Silent Fork may update or modify features at any time.

2. Account Registration & Eligibility

By creating or claiming an account, You represent that:

  • You have authority to act on behalf of the restaurant entity;
  • All information submitted is accurate;
  • You will maintain confidentiality of login credentials;
  • You will notify Silent Fork immediately if You suspect unauthorized access.

Silent Fork may suspend or terminate accounts for misuse, fraud, or violation of these Terms.

3. Fees & Billing

By using the platform, You agree to:

  • Pay subscription fees based on Your selected plan (monthly, annual, or custom)
  • Pay fees for additional evaluations outside the plan allotment
  • Provide reimbursement funds when applicable for evaluator visits
  • Allow Silent Fork to charge Your card or approved payment method on file

All subscription and evaluation fees are non-refundable, except where required by law or explicitly stated by Silent Fork.

Reimbursement deposits for evaluators are returned when unused.

4. Independent Evaluators

You acknowledge and agree:

  • Evaluators are not employees, contractors, agents, or representatives of You or Silent Fork
  • Evaluators voluntarily participate as users of the Silent Fork marketplace
  • Silent Fork is not responsible for evaluator actions outside the evaluation process
  • You may not attempt to hire or solicit Evaluators to perform similar services outside Silent Fork

You are responsible for maintaining a safe environment for any Evaluator visiting your location.

By using the platform, You grant Silent Fork a non-exclusive, royalty-free license to use Your name and logo:

  • On Silent Fork's website
  • In sales decks
  • In case studies
  • In investor materials
  • In promotional material that references groups using Silent Fork

You may revoke promotional use by written request, but not in historical materials.

6. Confidentiality

You agree not to disclose, copy, distribute, or share any of Silent Fork's proprietary information, including:

  • Evaluation templates
  • Scoring methodologies
  • Algorithms
  • Reporting structures
  • Operational processes
  • Platform functionality

Silent Fork agrees to maintain the confidentiality of Your non-public operational data.

These obligations survive termination.

7. Data & Privacy

Silent Fork collects and processes operational data, evaluation data, and user account information.

By using the platform, You agree to our Privacy Policy and permit Silent Fork to:

  • Store evaluation content
  • Analyze operational data
  • Provide insights, analytics, and benchmarks
  • Improve algorithms and platform performance

Silent Fork does not sell Your personally identifiable information.

8. Intellectual Property Rights

Silent Fork retains exclusive ownership of:

  • The platform
  • Evaluation forms and templates
  • Scoring algorithms
  • Content, design, software, and data structures
  • All Silent Fork branding and trademarks

You receive a limited, revocable, non-transferable license to use the platform for internal operations only.

You may not:

  • Copy or modify the platform
  • Reverse engineer or analyze algorithms
  • Share evaluation formats with third parties
  • Build a competing service using Silent Fork data

9. Client Responsibilities

You agree to:

  • Provide accurate information for evaluations
  • Pay all applicable fees
  • Treat Evaluators with respect and ensure they are safe
  • Not retaliate against any Evaluator
  • Use reports for operational improvement only

If Your conduct causes Evaluator complaints or safety concerns, Silent Fork may suspend or terminate Your access.

10. Indemnification

You agree to indemnify and hold harmless Silent Fork and Sakura Labs, LLC from any claims, damages, or losses arising out of:

  • Your restaurant operations
  • Food safety issues
  • Workplace injuries
  • Evaluator interactions with staff
  • Misuse of Silent Fork reports
  • Violations of laws or regulations
  • Violations of these Terms

Silent Fork indemnifies You only for damages resulting from Silent Fork's intentional misconduct.

11. Disclaimers & Limitations of Liability

Silent Fork provides the platform "as-is" and makes no warranties, express or implied, including:

  • Accuracy of evaluator feedback
  • Accuracy of reports or scoring
  • Guaranteed operational outcomes
  • Uninterrupted platform access
  • Error-free software

Maximum Liability

Silent Fork's total liability for any claim is limited to the amount You paid in the last 30 days.

Silent Fork is not liable for:

  • Lost profits
  • Loss of business
  • Data loss
  • Reputational harm
  • Indirect, incidental, or consequential damages

12. Termination

Silent Fork may suspend or terminate Your access:

  • For violations of these Terms
  • For non-payment
  • For misuse or abuse of the platform
  • If Evaluator safety is compromised
  • For fraudulent or harmful activity

You may cancel at any time; however:

  • Subscription fees are non-refundable
  • Prepaid annual plans remain active through the paid term
  • Reports already completed remain payable
  • Unused evaluator reimbursements will be returned

Upon termination, access to the platform is revoked immediately.

13. Governing Law

These Terms are governed by the laws of the State of Florida.

All disputes must be resolved exclusively in Miami-Dade County, Florida courts.

14. Changes to Terms

Silent Fork may modify these Terms at any time.

Updates will be posted on the platform with a revised "Last Updated" date.

Continued use of the platform constitutes acceptance of revised Terms.
